Terms of Service
Draft for legal review. Keeta Workspace prepared this draft, and it has not yet been reviewed by counsel. Text in [square brackets] needs a decision from counsel. Remove this note when the document is published.

These Terms of Service (the Terms) are an agreement between Keeta, Inc. (Keeta, we, us) and the organization or person that signs up for or uses Keeta Workspace (Customer, you). Keeta Workspace (Workspace or the Service) is the software at app.keeta.ai, eu.app.keeta.ai, its phone apps, its connect command and runner, its APIs and the related websites.
If you accept these Terms for an organization, you confirm you are authorized to bind it, and "you" means that organization. If you don't agree, don't use the Service.
These Terms include the policies they name: the Acceptable Use Policy, the AI Terms, the Credits and Billing Terms, the Data Processing Agreement and, where you use those programs, the Referral Program Terms and the Spare Cycles Terms. The Privacy Policy explains how we handle personal data. If you and Keeta sign a separate order form or enterprise agreement, it wins where it conflicts with these Terms.
1. The Service
1.1 What Workspace does. Workspace is a place where people give work to AI agents and review what they do. People create organizations, teams, projects and tasks; connect agents (their own coding agents, such as Claude Code, Codex or OpenCode, or agents Workspace hosts); connect tools such as GitHub, Slack, Notion, Google Drive, Gmail and Google Calendar; and approve, review and merge the agents' work.
1.2 Your agents and your accounts. Agents you connect yourself run on your own computers and your own accounts with their providers, under those providers' terms. You are responsible for having the right to use them for your work, and for anything they do on your computers. Workspace sends them work and receives their results; it does not control the provider or your computer.
1.3 Hosted Agents and model calls. When you use Hosted Agents, Ask Workspace or models you add, Workspace sends prompts and context to AI model providers through OpenRouter, as described in the AI Terms and the Privacy Policy.
1.4 Changes to the Service. We improve Workspace often. We may add, change or remove features. If we remove a feature you pay for in a way that materially reduces the Service, we will tell you at least 30 days ahead where we reasonably can.
1.5 Beta features. Features marked beta or preview are offered as they are, may change or end at any time, and are excluded from any service commitment.
2. Accounts and organizations
2.1 Signing up. You need an account to use Workspace. You must give accurate information and keep it current. You must be at least 18 years old, or the age of majority where you live if higher. Workspace is not for children.
2.2 Organizations. Each organization has an owner, and may have admins and members. The owner controls the organization's data, billing and settings, and can delete the organization. An address on a company domain belongs to one organization only; the first organization created for a company's domain may claim it.
2.3 Your responsibility for your organization. You are responsible for everyone you invite, for their use of the Service, and for keeping sign-in methods, passkeys, API keys, agent keys and connect links secret. Tell us at once at support@keeta.ai if you believe an account or key was compromised.
2.4 Single sign-on and provisioning. If you connect an identity provider through SAML or SCIM, you are responsible for who it lets in and removes.
3. Your data
3.1 You own your data. Customer Data means everything you, your people and your agents put into or create in Workspace: tasks, projects, knowledge, files, messages, code and content from connected tools, and the work your agents produce. You keep all rights to Customer Data.
3.2 Our licence to run the Service. You give Keeta a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you, and as you direct, including sending it to the agents, models and tools you choose.
3.3 No training, no selling. Keeta does not use Customer Data to train AI models, and does not sell Customer Data. Model calls Workspace makes for you go only to providers that do not keep or train on what they are sent, as described in the AI Terms.
3.4 What Keeta staff can see. Keeta's operators see counts and account metadata (such as an organization's name, owner email and usage totals) to run and bill the Service. They do not see the content of your work. Every look is recorded in an audit log. Keeta may access Customer Data only when you ask us to for support, or when the law requires it.
3.5 Data Home. When you sign up you choose where your organization's data lives: the United States or the European Union. An organization's data stays in its region and the organization never moves. The Trust page describes each region and every subprocessor.
3.6 Personal data. Where Customer Data includes personal data, Keeta processes it as your processor under the Data Processing Agreement, which forms part of these Terms.
3.7 Export and deletion. The owner can export all of the organization's data at any time, and can delete the organization. When an organization is deleted, its data is deleted from the live service at once and from backups within 30 days. Each person can download their own data and delete their account.
3.8 Usage information. Keeta may collect and use information about how the Service is used, such as feature usage counts, performance and errors, to run, secure and improve it. We use it only in aggregated or de-identified form outside your organization, and never to identify the content of your work.
3.9 Feedback. If you send us suggestions or feedback, we may use them without any obligation to you.
4. Acceptable use
You and your agents must follow the Acceptable Use Policy. In short, you may not use Workspace to break the law, harm others, attack or overload systems, infringe others' rights, or get around Workspace's limits and security. You are responsible for what your agents do through Workspace.
5. Credits, payment and taxes
5.1 Credits. Workspace is paid for with Workspace Credits, as described in the Credits and Billing Terms. Usage, seats and pass-through costs are paid from your organization's credits.
5.2 Prices. Prices are shown at keeta.ai and in Workspace. We may change prices with at least 30 days' notice; a change takes effect from your next billing period after the notice.
5.3 No refunds. Except where the law requires otherwise or these Terms say so, credits are not refundable, can't be withdrawn or exchanged back, and don't expire.
5.4 Non-payment. If your organization can't pay for its seats at renewal, it is paused: people can read but not change anything, and agents stop, until the balance covers the seats.
5.5 Taxes. Prices exclude taxes unless stated. You are responsible for taxes on your purchases, other than taxes on Keeta's income. [Counsel: confirm VAT/GST handling for EU, UK and other customers.]
6. Third-party services
Workspace connects to services that other companies run, such as GitHub, Slack, Google, Notion, DocuSign, Typefully, Stripe, OpenRouter and the Keeta network. When you connect one, you authorize Workspace to access it for you within the permissions you grant. Those services are governed by their own terms, and Keeta is not responsible for them. If a provider changes or ends its service, Workspace's connection to it may change or end.
7. Intellectual property
7.1 Keeta's property. Keeta and its licensors own Workspace, its software, designs, documentation and brands. These Terms give you no rights in them beyond the right to use the Service as these Terms allow.
7.2 Your right to use Workspace. Subject to these Terms and to paying for it, Keeta gives you a non-exclusive, non-transferable right to use the Service for your organization's business during your subscription. The connect command and runner may be installed on your computers for that purpose.
7.3 Restrictions. You may not copy, modify, or make derivative works of the Service; reverse engineer it except where the law allows despite this limit; resell or sublicense it except as Workspace's own features allow; or use it to build a competing product.
7.4 Open source. Some parts of Workspace are open source software under their own licences, which govern those parts.
7.5 Agents' work. As between you and Keeta, you own the output your agents and Workspace's models produce for you, as set out in the AI Terms.
8. Confidentiality
Each party will keep the other's non-public information that it receives through the Service confidential, use it only to perform under these Terms, and protect it with at least reasonable care. This doesn't cover information that is public through no fault of the receiving party, already known to it, independently developed, or rightfully received from someone else. A party may disclose confidential information when the law requires, after giving the other notice where it lawfully can.
9. Security
Keeta keeps organizations apart in the database itself, encrypts data in transit and at rest, keeps daily backups, records changes in each organization's activity trail, and requires passkeys for its own operators. The Trust page and the Data Processing Agreement describe these measures. If Keeta becomes aware of a security incident affecting your data, we will notify you within 72 hours, as the Data Processing Agreement sets out. To report a vulnerability, see the Responsible Disclosure Policy.
10. Suspension and termination
10.1 By you. You can stop using Workspace and delete your organization at any time from Settings.
10.2 By Keeta. Keeta may suspend or limit access, for an account, an agent or a whole organization, if it is needed to prevent harm to the Service, other customers or third parties, if you materially breach these Terms or the Acceptable Use Policy, or if the law requires it. Where we reasonably can, we will tell you first and give you a chance to fix the problem. Keeta may end these Terms for convenience with 60 days' notice, and will then refund unused credits bought with money [Counsel: confirm].
10.3 After termination. Your right to use the Service ends. You may export your data for 30 days after termination unless the termination was for a serious breach or the law forbids it, after which Keeta deletes it as section 3.7 describes. Sections that by their nature should survive termination survive it, including 3.9, 5 (amounts owed), 7, 8, 11, 12, 13 and 15.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, Keeta disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. AI agents and models make mistakes. Their output can be wrong, incomplete, insecure or infringing, and Workspace's verification does not guarantee otherwise. You are responsible for reviewing what agents produce before you rely on it, merge it, send it or publish it. Some jurisdictions don't allow some of these disclaimers, so they may not apply to you.
12. Limitation of liability
12.1 To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused, even if told they were possible.
12.2 To the fullest extent the law allows, each party's total liability arising from or related to these Terms is limited to the amounts you paid Keeta for the Service in the 12 months before the event giving rise to the claim [Counsel: consider a floor, such as US$100].
12.3 These limits do not apply to your payment obligations, a party's breach of section 8, your breach of section 4, either party's indemnity obligations, or liability that cannot be limited by law, such as for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence.
13. Indemnity
13.1 By Keeta. Keeta will defend you against a third-party claim that the Service, as provided by Keeta, infringes that party's intellectual property rights, and pay the damages finally awarded or agreed in settlement. This doesn't cover claims caused by Customer Data, your agents or their output, third-party services, or use of the Service in breach of these Terms or combined with things Keeta didn't provide. If such a claim is made or likely, Keeta may modify the Service, get you the right to keep using it, or end it and refund prepaid amounts for the unused part.
13.2 By you. You will defend Keeta against a third-party claim arising from Customer Data, your agents' actions, or your use of the Service in breach of these Terms or the law, and pay the damages finally awarded or agreed in settlement.
13.3 Process. The party asking for defence must tell the other promptly, let it control the defence and settlement (no settlement may admit fault of the protected party without its consent), and give reasonable help at the defending party's cost.
14. Changes to these Terms
We may update these Terms. For a material change we will give at least 30 days' notice by email or in Workspace before it takes effect, unless the change is required by law or concerns new features. Continuing to use the Service after a change takes effect means you accept it. Each published version stays available in our history; ask us for an earlier one.
15. General
15.1 Governing law and courts. These Terms are governed by the laws of [the State of Delaware, United States], excluding conflict-of-laws rules. The courts of [Delaware] have exclusive jurisdiction, except that either party may seek an injunction anywhere. If you are a consumer in the EU or UK, you also keep the protection of the mandatory laws of your country and may bring claims in its courts. [Counsel: confirm governing law, venue, and whether to add arbitration for US customers.]
15.2 Export and sanctions. You must comply with export control and sanctions laws. You may not use the Service if you are, or act for, a person on a sanctions list, or from a sanctioned country or region.
15.3 Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets, with notice.
15.4 Force majeure. Neither party is liable for failures caused by events beyond its reasonable control, such as outages of internet providers, cloud providers or the Keeta network, natural disasters, war or government action. This doesn't excuse payment.
15.5 Notices. Keeta sends notices to the owner's email or in Workspace. Send notices to Keeta at support@keeta.ai [and Keeta, Inc., registered address].
15.6 Entire agreement. These Terms, with the policies they name and any order form, are the whole agreement about the Service and replace earlier agreements on it. If a provision is unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. The parties are independent contractors. There are no third-party beneficiaries.
15.7 Language. These Terms are written in English. A translation is for convenience only; the English version governs.
