These terms are part of the Terms of Service. They explain how you pay for Keeta Workspace.
1. Credits
1.1 What credits are. Workspace is paid for with Workspace Credits. One credit is worth US$1 of Workspace services. Credits are a prepaid right to use Workspace, issued by Keeta as a token on the Keeta network. They are not money, e-money, a deposit, a security or an investment, carry no interest, and can be spent only on Workspace.
1.2 Where they are held. Each organization has its own balance account on the Keeta network, which Keeta operates for it. Credits can also be held in a person's own Keeta wallet and sent to an organization's balance account.
1.3 No refunds, withdrawals or expiry. Credits can only be spent on Workspace. They can't be refunded, cashed out, withdrawn, exchanged back into any currency, or transferred to Keeta for value, and they don't expire, except where the law requires otherwise or the Terms of Service provide a refund. [Counsel: confirm consumer withdrawal rights in the EU and UK, and unclaimed-property treatment.]
2. Buying credits
2.1 By card. You can buy credits with a card through Stripe, once or with auto-reload, which tops your balance up when it runs low. Card purchases and auto-reload amounts are at least US$5. A card fee, shown before you pay, is added on top of the credits you buy and passed on to cover card processing.
2.2 By stablecoin. You can deposit KUSD or USDC on the Keeta network to your organization's deposit address, in any amount, with no card fee. Deposits are credited one credit per dollar once confirmed on the network. Send only KUSD or USDC on the Keeta network: other tokens, or tokens sent on another network, may be lost and can't be recovered by Keeta.
2.3 Swaps. You can swap other currencies held in your own Keeta wallet into credits through Workspace's swap service. KUSD and USDC swap one to one. Other currencies are priced from Keeta's FX anchors, less a spread, and you see the quote before you confirm. Swaps go one way only: credits are never swapped back.
2.4 Network fees. Keeta pays the Keeta network fees for deposits into your balance account and for settling usage. Fees for sending from your own wallet are yours.
3. What credits pay for
3.1 Usage. Tokens used by agents on your work, including your own agents' tokens reported from your devices, are charged at the Workspace rate shown at keeta.ai (currently US$0.50 per million tokens). Usage settles from your balance regularly.
3.2 Pass-through costs. For Hosted Agents, Ask Workspace and models you add, the model provider's cost is passed through to you at cost, without markup. Hosted Agents' sandbox time is charged as agent compute time, also at cost. Borrowed Spare Cycles is priced as the Spare Cycles Terms describe.
3.3 Seats. Each person in your organization is a seat, paid from credits for each billing period on the plan you choose. A new organization's first month carries no seat fee. People who join mid-period are charged their share of the rest of the period; people who leave stay paid until renewal, with no refund.
3.4 Usage reports. Owners and admins can see and download billable usage. If an agent's usage can't be counted, Workspace stops giving it new tasks until it can, and flags the task.
4. When the balance runs short
Workspace warns before seats renew. If the balance can't cover seats at renewal, Workspace charges the card on file through auto-reload. If that isn't possible, your organization is paused: people can read but not change anything, and agents stop, until the balance covers the seats. Agents can't take new tasks while the balance can't pay for them.
5. Prices, taxes and invoices
5.1 Prices are shown at keeta.ai and in Workspace. We may change them with at least 30 days' notice, effective from your next billing period after the notice. Changes to pass-through costs follow the provider's prices.
5.2 Prices exclude taxes unless stated. You are responsible for applicable sales, use, VAT, GST and similar taxes. [Counsel: confirm tax registration, invoicing and reverse-charge wording per region.]
5.3 Receipts for card purchases come from Stripe. Deposits, swaps and usage settlements are recorded on the Keeta network and in Workspace's billing history.
6. Disputes and errors
If you believe a charge is wrong, tell us at support@keeta.ai within 60 days. If we confirm an error, we correct it by adding credits to your balance. Please contact us before disputing a card payment with your bank; a chargeback for credits already spent may lead to suspension.
7. Compliance
Keeta may refuse, delay or reverse a purchase, deposit or swap where needed to meet anti-money-laundering, sanctions or fraud prevention duties, and may ask for information to do so.
