Referral Program Terms

Draft for legal review. Keeta Workspace prepared this draft, and it has not yet been reviewed by counsel. Text in [square brackets] needs a decision from counsel. Remove this note when the document is published.

These terms govern the Keeta Workspace referral program (the Program) run by Keeta, Inc. (Keeta). By sharing your referral code or linking a wallet to receive commission, you (the Referrer) agree to them, alongside the Terms of Service.

1. Who can take part

Anyone with a Workspace account who is at least 18 can be a Referrer, unless they live in a sanctioned country or region, or the law forbids it. Keeta staff may not earn commission. [Counsel: confirm any countries to exclude.]

2. Finder’s Fee

2.1 Each Referrer has one referral code and link. A referral is made when a new organization is created with your code, or when its owner adds your code within 30 days of creating it.

2.2 A code is refused, and no referral is made, when it is your own organization, when you are a member of the organization, when your email shares a company domain with the person entering it, or when the organization already has a referral or is more than 30 days old.

2.3 A referral is final once made. The referred organization sees who referred it; being referred never changes what it pays.

3. Commission

3.1 You earn commission on a referred organization's net revenue: what it actually paid for Workspace's own charges (usage at the Workspace rate and seats), excluding card fees, model and compute costs passed through to it, credits bought but not yet spent, and amounts still owed.

3.2 The rate depends on how long ago the organization was created: 7% in its first year, 5% in its second, 3% in its third, 2% in its fourth, and 1% in its fifth year and every year after, for as long as it pays.

3.3 There is no commission for a month in which you are a member of the referred organization. Commission is one level only: nobody earns commission on referrals made by people they referred.

4. Payment

4.1 Commission is counted after each calendar month ends and paid in KUSD (Keeta's US dollar stablecoin) to your own Keeta wallet, linked in Workspace under Finder’s Fee. There is no minimum and no fee.

4.2 To be paid, you link a Keeta wallet that holds a valid KYC certificate. Linking shares your full name, address, date of birth and identification numbers (including your tax ID) from that certificate with Keeta, encrypted, for payment and tax reporting, as our Privacy Policy describes.

4.3 Commission earned while no wallet is linked, or while a payout can't be sent, is held and paid later. [Counsel: decide whether unclaimed commission lapses after a period.]

4.4 You are responsible for taxes on your commission. Keeta may withhold, report or ask for information where tax law requires.

5. Fair play

Don't spam, mislead people about Workspace or your relationship with Keeta, bid on Keeta's brand terms in paid search, pose as Keeta, refer yourself or your own companies, or create organizations just to earn commission. Follow the law, including disclosure rules for endorsements, such as saying you earn a commission. Keeta may refuse or void a referral, withhold or reclaim commission from it, and remove you from the Program for a breach of these terms or for fraud.

6. Changes and ending

Keeta may change or end the Program with 30 days' notice. Commission earned before a change or the end is still paid under the terms in force when it was earned. [Counsel: confirm whether ongoing commission on existing referrals survives the Program ending.]

7. General

You are an independent participant, not Keeta's employee, agent or partner, and may not make commitments for Keeta. Keeta's liability under the Program is limited to commission earned and unpaid. Questions: support@keeta.ai.
